Terms and Conditions of Trade
Acceptance
Goods are only supplied on the condition that the purchaser has read and fully accepted our terms of trading as detailed below. The placing of an order is deemed as confirmation that the customer has accepted our terms and conditions of sale.
Credit Accounts
All customers who require a credit facility should complete a credit application form. Tony Mitchell Ltd reserves the right to refuse a credit account. In such cases, trading will be on a pro forma basis only.
Pro Forma Accounts
Once a pro forma order is placed, payment in full must be received within two weeks. If payment is not received within this period, the order will be cancelled. Goods will not be despatched until payment in full is received.

By cheque payable to ‘Tony Mitchell Ltd’, or BACS.

Payment terms
Accounts are to be paid monthly. Invoices dated after the 28th of each month may be treated as the following month’s purchases.
All order placed are deemed as divisible. Each delivery made shall be deemed to arise from a separate contract and shall be invoiced separately; any invoice for a delivery shall be payable in full in accordance with terms of payment provided for herein, without reference to and notwithstanding any defect or default in delivery of any other instalment or of any other instalment under any other contract.
Prices
All goods and services are subject to VAT at the current rate, except where zero rated. Prices are quoted in Pound Sterling and all prices will be those ruling at the date of despatch, unless previously agreed.
Transit Losses and Discrepancies
When signing for deliveries, it is the customer’s responsibility to indicate if the goods delivered are unchecked or damaged. This must be noted on the driver’s delivery docket. Failure to do this will invalidate any claim for loss or damage. Loss or damage of goods must be noted to us within 4 working days of receipt, quoting your account name and details and the despatch note number.
Non-receipt of the entire consignment must be notified to us within 7 working days from the date of the invoice.
Retention of Title
The property of the goods shall not pass to any persons or companies until all monies owed to Tony Mitchell Ltd have been paid in full.
Return of Saleable Goods
Before returning goods to us, authorisation must be obtained from head office and a 10% handling charge will be levied against the returned goods.
Please ensure that full documentation is included with the returned goods, detailing your account name and number, the despatch note number and the reason for the return.
Faulty Goods
Where products are alleged to be faulty, Tony Mitchell Ltd shall so far as possible pass on to the customer the benefit of any guarantee or warranty given by the manufacturer. Tony Mitchell Ltd reserves the right to repair or replace an item found to be faulty. Where products are alleged to be faulty, the customer should first contact Tony Mitchell Ltd. Tony Mitchell Ltd does not except responsibility for goods that customers decide to replace free of charge to their customers without prior consultation with Tony Mitchell Ltd.
Risk
Notwithstanding anything contained in these Conditions, any goods supplied by Tony Mitchell Ltd shall be at the customers risk from the time of delivery to him or to any carrier or agent acting on his behalf.
Delivery Information and charges
If we receive your order by 12 o’clock, we will aim to despatch your goods that day and you should receive delivery of your order on the next working day. Please note that this may vary during peak times. Please let us know if the order is urgent and we will do our utmost to make sure it leaves us as soon as possible.
Any dates quoted for delivery are approximate only, and the time of the delivery is not of the essence. Tony Mitchell Ltd shall not be liable for any delay in delivery of goods that is caused by the Force Majeure Event or the failure of the customer to provide adequate delivery details or instructions that are relevant to the supply of the goods. A Force Majeure Event means any event beyond a party's reasonable control, which by its nature could not have been foreseen, or, if it could have been foreseen, was unavoidable, including strikes, lock-outs or other industrial disputes (whether involving its own workforce or a third party's), failure of energy sources or transport network, acts of God, war, terrorism, riot, civil commotion, interference by civil or military authorities, national or international calamity, armed conflict, malicious damage, breakdown of plant or machinery, nuclear, chemical or biological contamination, sonic boom, explosions, collapse of building structures, fires, floods, storms, earthquakes, loss at sea, epidemics or similar events, natural disasters or extreme adverse weather conditions, or default of suppliers or subcontractors.
